Slavery and Human Trafficking Statement 2024-2025

The UK Modern Slavery Act (“MSA”) creates two criminal offences related to modern slavery: “slavery, servitude and forced or compulsory labour” and “human trafficking”. Section 54 of the MSA requires a commercial organisation that supplies goods or services and has over £36 million turnover, to publish a statement on the steps it has taken during the financial year to ensure that slavery and human trafficking is not taking place in any of its supply chains, and in any part of its business. Harris Williams & Co. Ltd (“Harris Williams”) met this revenue threshold in 2024 and intends to build on this statement in subsequent years. Harris Williams is committed to maintaining consistently high business and ethical standards. This includes taking a zero tolerance approach to any form of slavery and human trafficking, and Harris Williams intends that no such activities occur in any part of its own business or supply chains.

Steps taken to address slavery and human trafficking
Harris Williams is authorized and regulated by the UK Financial Conduct Authority. Harris Williams’ primary business is performing global investment banking services, specializing in M&A and private capital advisory services.

Harris Williams has taken the following steps in relation to slavery and human trafficking for its 2024 financial year:

1. Employment: Harris Williams’ hiring practices are in line with the market, and aim to offer highly competitive remuneration to staff at all levels of the business. Protection of employees’ legal rights is provided by Harris Williams’ employment contracts and UK employment laws.

2. Supply chains: As a provider of financial services, a large proportion of Harris Williams’ suppliers are considered low risk professional services providers, or low risk suppliers of office essential services. Harris Williams is currently reviewing its processes on how it monitors businesses in its supply chains to ensure that slavery and human trafficking is not taking place, including by obtaining appropriate contractual representations when renewing contracts.

Harris Williams intends to conduct a risk assessment of its suppliers regarding slavery and human trafficking. For those suppliers identified as high risk, Harris Williams will notify them of its expectations of their and their own suppliers with regard to slavery and human trafficking. If Harris Williams determines that one of its suppliers represents a slavery or human trafficking risk, Harris Williams will either request that the supplier addresses this risk within a certain timeframe, or will cease its business relationship, depending on the significant of the risk identified.
