Harris Williams advised Aero 3, a portfolio company of GenNx360 Capital Partners, on their sale to VSE Corporation. Aero 3 is a diversified maintenance, repair and overhaul (MRO) service provider and distributor supporting the global aviation wheel and brake aftermarket. The company operates across three complementary business units: wheel and brake MRO services, OEM-aligned distribution, and proprietary solutions.

Aftermarket services continues to be an area of strong interest among investors due to a large and growing total addressable market (tied to fleet growth, utilization, and age); emphasis on mission-critical services that are regulated, non-deferrable, and often contracted; and a combination of organic and inorganic growth opportunities.

Aero 3 has built a strong reputation for technical expertise, reliability, and partnership with OEMs across the industry. As a unique independent platform of scale within the aviation wheel and brake aftermarket, Aero 3’s global footprint and OEM-aligned model enable them to serve as a one-stop shop solution provider for fleet operators.

The acquisition of Aero 3 broadens VSE’s MRO, distribution, and proprietary product offerings while extending their global reach. With the addition of Aero 3’s nine MRO facilities, VSE will operate twelve strategically located wheel and brake repair facilities across North America and Europe, serving commercial, business, and general aviation customers.
