6033 CPI High Power Microwave Technology NT

M&A Engagement Overview

Industry Group: Aerospace, Defense & Government Services
Area of Focus: Defense

Harris Williams advised Communications & Power Industries’ (CPI) Electron Device Business (EDB), a portfolio company of TJC, on their sale to TransDigm Group for approximately $1.385 billion in cash.

In today’s market, we are seeing tremendous demand for defense platforms from both strategic and sponsor acquirers. With a potent combination of forward visibility and recurring aftermarket support requirements, CPI’s EDB business has a tremendous opportunity ahead. It is our privilege to have advised the company and TJC in this transaction.

CPI’s EDB is a leading global designer and manufacturer of proprietary high-power microwave components that enable many of the most advanced radar, electronic warfare, missile defense, directed energy, and quantum sensing platforms operated by the Armed Forces of the United States and its allies. EDB serves global, blue-chip aerospace and defense customers and benefits from a large installed base with enduring aftermarket needs, driving predictable recurring revenue. The company maintains an extensive portfolio of owned designs, developed over a 75-year heritage of innovation. EDB has manufacturing locations in Palo Alto, California; Beverly, Massachusetts; Middlesex, U.K.; and Woodland, California.
