M&A Engagement Overview

Industry Group: Energy, Power & Infrastructure
Areas of Focus: Electric, Utility Services

Harris Williams advised United Utility, a portfolio company of Bernhard Capital Partners, on their sale to Sandbrook Capital.

With massive near- and long-term investment needed to maintain grid functionality, enhance resilience, and modernize power infrastructure, the U.S. power grid is in the midst of a non-discretionary, multi-decade spending cycle, offering investors highly resilient opportunities to invest behind stable, predictable demand for essential services.

United Utility is a leading provider of essential infrastructure services for North America’s power grid. The company delivers specialized, integrated solutions across electrical transmission and distribution systems, substations, and smart grid infrastructure – spanning design and installation, maintenance, repairs, and grid resilience services.

BCP formed United Utility in 2018 through the acquisition of W.A. Chester and subsequently expanded the platform through a series of strategic add-on acquisitions, including BHI Power Delivery, B&B Electrical & Utility Contractors, and Williams Electric Company, turning the platform into the full-service provider it is today.

United Utility’s partnership with Sandbrook Capital allows them to strengthen their service offering and expand their operating footprint in support of their utility partnerships, in front of secular tailwinds in grid modernization, generational load growth, and the energy transition.
